1. Agreement to Terms

These Terms and Conditions ("Terms") govern your access to and use of the IPHOXY CORP website at iphoxy.com and all related services. By registering for an account, browsing inventory, or placing an order, you agree to be bound by these Terms. If you do not agree, do not use our services.

IPHOXY CORP ("IPHOXY," "we," "us") is a Florida corporation located at 3006 NW 72nd Ave, Miami, FL 33122.

2. B2B Only — Eligibility

Our services are available exclusively to business-to-business (B2B) buyers. By creating an account, you represent that:

  • You are purchasing on behalf of a registered business entity
  • You hold a valid resale or business license where required by law
  • You are at least 18 years of age
  • You have the legal authority to bind your organization to these Terms

IPHOXY reserves the right to reject or revoke any account application at its sole discretion. Consumer purchases are not permitted.

3. Account Registration & Approval

To access pricing and place orders, you must apply for a wholesale account. Account approval is at IPHOXY's sole discretion. You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized account use at [email protected]

4. Products & Inventory

All products listed on iphoxy.com are authentic branded products. IPHOXY sources products through legitimate wholesale channels. Product availability, descriptions, and stock levels are updated in real-time from our Miami warehouse but are subject to change without notice.

IPHOXY offers:

  • New iPhones, iPads, MacBooks, Watches, AirPods: Factory-sealed or open-box with applicable manufacturer warranty.
  • Used / Certified Pre-Owned Phones: Grade described at time of sale. Functionality is verified before sale.
  • Accessories: Authentic Apple and third-party accessories as described.

5. Pricing & Payment

All prices are listed in US Dollars (USD) and are subject to change without prior notice. A confirmed price is only binding upon written order confirmation by IPHOXY.

  • Payment must be received in full prior to shipment unless a credit account has been expressly approved in writing.
  • Accepted payment methods include wire transfer, ACH, and approved credit terms.
  • Invoices not paid by the due date may be subject to a 1.5% monthly late fee.
  • IPHOXY reserves the right to cancel orders where payment is not received within the specified timeframe.

6. Orders & Minimum Quantities

Minimum order quantities (MOQ) may apply and will be stated on the product listing or communicated by your account manager. IPHOXY reserves the right to:

  • Refuse or cancel any order at its discretion
  • Limit quantities per order
  • Require additional verification for large or unusual orders

Order confirmations are sent by email. Review confirmations carefully and contact us immediately if there are discrepancies.

7. Shipping & Delivery

  • Orders are shipped from our Miami, FL warehouse. Same-day processing is available for orders confirmed and paid before 2:00 PM EST on business days.
  • Shipping costs and estimated delivery times will be quoted at checkout or upon request.
  • Title and risk of loss transfer to the buyer upon delivery to the carrier.
  • IPHOXY is not responsible for delays caused by the carrier, customs, weather, or other events beyond our control.
  • International buyers are responsible for all import duties, taxes, and customs compliance in their country.

8. Returns & Refunds

All sales are final unless the product is:

  • Delivered dead-on-arrival (DOA) — reported within 48 hours of receipt with photo/video evidence
  • Wrong item shipped — reported within 48 hours of receipt

To initiate a return, email [email protected] with your order number, photos, and a description of the issue. Approved returns must be shipped back in original packaging within 7 days of approval. IPHOXY does not accept returns for buyer's remorse, market price changes, or change of business plans.

9. Warranties

New products carry the applicable manufacturer warranty when available. IPHOXY provides no additional warranty beyond what is offered by the manufacturer. For used or refurbished items, any warranty will be explicitly stated in writing at the time of sale. IPHOXY disclaims all implied warranties to the fullest extent permitted by law.

10. Intellectual Property

All content on iphoxy.com — including logos, text, graphics, photographs, and software — is owned by IPHOXY CORP or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without written permission.

Apple, iPhone, iPad, MacBook, Apple Watch, AirPods, and related marks are trademarks of Apple Inc. IPHOXY is not affiliated with, endorsed by, or sponsored by Apple Inc.

11. Limitation of Liability

To the fullest extent permitted by law, IPHOXY CORP shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or products, including but not limited to lost profits, lost revenue, or loss of data. IPHOXY's total aggregate liability shall not exceed the amount paid by you for the specific order giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless IPHOXY CORP, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of your use of our services, your breach of these Terms, or your violation of any applicable law or third-party rights.

13. Export Compliance

You agree to comply with all applicable U.S. and international export control laws and regulations. You represent that you are not on any U.S. government denied-party list and that the products will not be used for any purpose prohibited by such laws.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida. You waive any objection to the jurisdiction of such courts.

15. Modifications

IPHOXY reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised date. Continued use of our services after changes constitutes acceptance of the revised Terms.
